The Company has Side-by-Side Offerings which include

1. A Crowd-Fund Offering of up to a maximum of $5 million for non-accredited U.S. Investors.
2. A section 506c Offering under Reg D for Accredited U.S. Investors and Reg. S for non-U.S. Investors. The 506c Offerings are for up to $100 million.

Subscriptions for Accredited US Investors and non-US Investors may be made through either our crowdfund portal, or directly through our web site.
The Offerings for Preferred Stock provides options to put shares back to the company or convert to common stock at a 1:1 locked in ratio.

The option to convert to common stock permits initial investors to share in the growth of the company in the event of a public offering of common stock.
​
Management seeks to have a public offering of common stock within a couple years, but there are no guarantees that such an Offering will occur.
